SpecSourcing's scope of service, independence and disclaimer: what we do and do not warrant when vetting Chinese power-equipment suppliers.
This page states, in plain language, what SpecSourcing is and is not. It is reproduced verbatim on every deliverable and in the site footer. If anything here is unclear, ask before engaging.
What we are, and are not
SpecSourcing operates strictly as a commercial risk mitigation and engineering compliance advisory service. We are NOT a licensed law firm representing clients in any court of law, nor do we assume professional engineering liability (PE) for final project deployment or operational outcomes. All contract annexes, demand letters, and dispute resolution frameworks drafted by SpecSourcing are risk-assessment deliverables that MUST be reviewed and formally incorporated into the master agreement by the Client's internal or external licensed counsel admitted in the relevant jurisdiction. All procurement execution, factory acceptance testing, field equipment performance, and continuous operational safety remain the sole responsibility of the Client. On-site observations reflect the conditions witnessed during the visit only and do not constitute a guarantee of ongoing manufacturing consistency.
Dispute-resolution frameworks are drafts, not advice
The above dispute-resolution framework is a risk-assessment draft provided by SpecSourcing for the Client's internal reference. Choice between arbitration and litigation, the seat, the governing law, and the exact jurisdiction anchoring must be finalized by licensed counsel admitted in the relevant jurisdiction(s) based on the specific transaction, the counterparty's registered domicile, and the location of enforceable assets. SpecSourcing does not provide legal representation and assumes no responsibility for the enforceability of clauses not formally incorporated into the master agreement by such counsel.
Scope, and where it stops
The enclosed fee covers the initial delivery of the audit report / contract annex, one round of technical feedback or counter-proposal review based on the factory's response, and a single 60-minute consultation session. Any further negotiations, additional revision rounds, or continuous consulting beyond the stated scope are billed at USD 175 per hour. The Client's issuance of a purchase order constitutes acceptance of these terms.
Travel is never bundled
Travel and accommodation expenses are not included in the service fee. The Client shall either (a) directly book and pre-pay the consultant's flights and accommodation, or (b) pre-pay a travel-expense advance invoice issued at least 7 days prior to the scheduled visit. No travel arrangements will be made until travel costs are secured by one of the above methods.
Data and export-control boundaries
Checks on a Chinese factory's judgments, dishonest-debtor status, and certificate authenticity use judicial and certification databases for the Client's internal due diligence only; results are not re-distributed or publicly labelled (e.g. "fraudulent"), which could constitute commercial defamation. Where client-provided technical data may touch export-control regimes, the Client warrants it does not breach applicable export-control law; SpecSourcing performs risk assessment only and assumes no export-compliance judgment. EU-client data transfers follow GDPR: minimum-necessary, a Data Processing Agreement, and SCCs for cross-border transfer.
No warranty; limitation of liability
We do not warrant the completeness or accuracy of third-party registries, and are not liable for decisions made solely on our reports. Our work is decision-support, not a guarantee. We carry professional liability (E&O) insurance; the policy and limits are available on request and may be required by the Client's own vendor-admission list.
Independence
We are paid by the buyer only. We do not accept undisclosed commissions from any supplier, and when we name an alternative we state in writing that we have no financial relationship with it.
Privacy
Submissions are used solely to respond to your request and are never sold or shared with third parties.
